Terms of Service
These Terms of Service govern your access to directivemd.com and your use of DirectiveMD’s inquiry, matching, coordination, and support services. By using the site or submitting information, you agree to these terms.
Our services
DirectiveMD helps clinics describe their needs, evaluate potential physician availability, and coordinate possible medical director relationships. Optional marketing or business support may be discussed separately. The scope, fees, responsibilities, availability, start date, and termination terms of any engagement are established only in a separate written agreement.
No automatic coverage or guarantee
Submitting an inquiry, receiving a message, viewing a potential match, or discussing a physician does not by itself create a physician-client relationship, medical director coverage, supervision, compliance status, or a binding engagement. Coverage begins only after required review, acceptance, contracting, onboarding, payment, and any other agreed conditions are completed.
Clinic responsibilities
You are responsible for providing accurate and current information about your clinic, ownership, locations, providers, credentials, services, operating status, and needs. You remain responsible for your clinic’s licenses, permits, policies, staffing, operations, billing, and compliance with applicable laws and professional requirements.
Eligibility and acceptable use
You may use the site only for lawful business purposes and must have authority to provide information on behalf of the clinic or organization identified. You may not:
- Submit false, misleading, unlawful, or patient-specific information.
- Interfere with the site, attempt unauthorized access, or introduce harmful code.
- Copy, scrape, resell, or misuse site content or contact information.
- Use DirectiveMD’s name, materials, or services in a way that misrepresents an active physician relationship.
Pricing and payment
Prices shown on the website are starting prices for informational purposes. Final pricing depends on the clinic’s providers, services, locations, coverage needs, and the written agreement. Any payment, renewal, cancellation, late-payment, refund, or suspension terms are governed by the applicable signed agreement or invoice terms.
Communications
When you provide contact information, you authorize us to respond about your inquiry and related services by phone, email, or text. Message and data rates may apply. You may opt out of promotional texts by replying STOP. Service-related communications may continue where legally permitted.
Intellectual property
The DirectiveMD name, website, design, text, graphics, and other materials are owned by or licensed to DirectiveMD and protected by applicable intellectual-property laws. Limited personal and internal business viewing is permitted; no other rights are granted.
Third-party services and professionals
The site may involve or link to independent professionals and third-party providers. DirectiveMD is not responsible for third-party websites, technology, acts, omissions, licenses, professional judgment, or services outside the scope of DirectiveMD’s written commitments.
Disclaimers
The site and general website content are provided “as is” and “as available.” To the fullest extent permitted by law, DirectiveMD disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and any guarantee that use of the site or a physician relationship will satisfy every legal or regulatory requirement.
Limitation of liability
To the fullest extent permitted by law, DirectiveMD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the website or these terms. Any liability relating to a paid service is subject to the limits stated in the applicable written agreement.
Indemnification
You agree to defend, indemnify, and hold DirectiveMD and its personnel harmless from claims, losses, or expenses arising from your unlawful use of the site, inaccurate information, violation of these terms, or operation of your clinic, except to the extent prohibited by law.
Suspension and termination
We may restrict site access or communications for misuse, security concerns, legal requirements, nonpayment under an applicable agreement, or conduct that may harm DirectiveMD, participating professionals, or others.
Changes and governing terms
We may update these terms by posting a revised version with a new effective date. If a separate signed agreement conflicts with these website terms, the signed agreement controls for the covered service. Applicable law governs these terms without overriding rights that cannot legally be waived.
